1. Agreement to Terms

These Terms of Service ("Terms", "Terms of Service") govern your use of the EvenBooks accounting software service (the "Service") operated by EvenBooks ("us", "we", or "our"), accessible at evenbooks.co.uk.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

EvenBooks provides cloud-based accounting software for UK businesses, including but not limited to:

• Invoicing and billing management
• Expense tracking and categorisation
• Bank reconciliation
• Financial reporting and analytics
• Payroll processing
• VAT calculation and HMRC MTD submission
• Companies House integration
• Licensed software access

3. Accounts

Account Creation

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

Account Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

Account Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

4. Subscriptions and Payments

Billing Cycle

The Service is billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select.

Payment Methods

A valid payment method, including credit card or debit card, is required to process the payment for your Subscription. You shall provide accurate and complete billing information including full name, address, and payment card details.

Price Changes

We reserve the right to modify the Subscription fees for the Subscriptions at any time. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Subscription fees. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified fee.

Refunds

Subscription fees are generally non-refundable. We may consider refund requests on a case-by-case basis at our sole discretion. If you cancel your subscription before the end of your billing cycle, you will retain access to the Service until the end of that billing period.

5. License and Software Access

Subject to these Terms and your payment of applicable fees, EvenBooks grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service and any licensed software provided as part of your subscription.

The licence is personal to you and may not be sublicensed, assigned, or transferred without our prior written consent. Any attempted assignment or transfer in violation of this provision is void.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of EvenBooks and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of EvenBooks. You retain ownership of all data you input into the Service.

7. User Data and Responsibilities

Data Accuracy

You are responsible for ensuring the accuracy and completeness of all data you input into the Service. EvenBooks is not responsible for errors in tax filings, financial reports, or other outputs resulting from inaccurate or incomplete input data.

HMRC Submissions

When using our HMRC submission features, you acknowledge that you are responsible for the accuracy of all information submitted to HMRC through our Service. You authorise us to submit VAT returns and other filings on your behalf based on the data you have entered.

Data Backup

While we maintain regular backups of your data, you are encouraged to export and maintain your own copies of critical financial data. We recommend regular data exports for your records.

8. Prohibited Uses

You agree not to use the Service:

• For any unlawful purpose or in violation of any laws or regulations
• To submit false or misleading information to HMRC or other authorities
• To infringe upon the intellectual property rights of others
• To attempt to gain unauthorised access to any portion of the Service or any systems or networks connected to the Service
• To use any automated system to access the Service in a manner that sends more requests than a human can reasonably produce
• To transmit any viruses, worms, or other malicious code
• To collect or harvest any information about other users
• To spam, phish, or engage in any fraudulent activity

9. Service Availability

Uptime Commitment

We strive to maintain 99.9% service uptime. However, we do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors.

Scheduled Maintenance

We reserve the right to perform scheduled maintenance. We will endeavour to provide advance notice of scheduled maintenance that may affect your ability to access the Service.

Service Modifications

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service or any service to which it connects, with or without notice and without liability to you.

10. Limitation of Liability

In no event shall EvenBooks, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorised access, use, or alteration of your transmissions or content
• Errors in tax calculations or HMRC submissions due to incorrect input data

11. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

EvenBooks does not warrant that the Service will function uninterrupted, secure, or available at any particular time or location; that any errors or defects will be corrected; or that the Service is free of viruses or other harmful components.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
